    I'd say what @Archaon is a specific site/address in mind and he's worried as soon as he tells someone what the address is that they'll go buy it themselves.

    @Archaon a NDA should stop them but it's a legal document and if you find they have broken it then you need to sue them under the terms of the NDA and that may cost $$$$$ to actually do - lawyers aren't cheap.

    Same thing with a Confidentiality Agreement. Or any contract really.

    Thanks for all the help guys.

    Mainly worried about getting cut out of the deal I guess, in someone that would prefer 100% of the profits instead of 50%.

    After doing my DD, the feaso didn't stack up to enough for me to warrant the hassle.

    Pretty much. Years ago I looked at a franchise. To view the Operations Manual and Franchise Agreement, I had to sign a Confidentiality Agreement. I didn't breach it. I would have maintained the same level of confidentiality on a handshake but I guess they get it in writing in case legal action is required.

    A written agreement can also scare people from breaching it's terms. Even if you have no intention of suing it can be worthwhile entering a written agreement
